1. Introduction

Welcome to Autorary (“we,” “our,” or “us”), the marketplace for automation experts. These Terms and Conditions govern your use of our platform and services. By accessing or using Autorary, you agree to be bound by these terms. If you disagree with any part of the terms, you may not access the service.

2. Definitions

  • “Company,” “We,” “Us,” or “Our” refers to Autorary, registered in Israel.
  • “Platform” refers to the Autorary website and services.
  • “User,” “You,” or “Your” refers to individuals or entities using our platform.
  • “Seller” refers to users who offer automation products for sale on our platform.
  • “Buyer” refers to users who purchase products from our platform.

3. Eligibility

3.1. To sell automations on our platform, you must be at least 18 years old.

3.2. There are no specific age restrictions for buying products, but the ability to make purchases may depend on your chosen payment method. Currently, we only accept PayPal.

4. Account Registration

4.1. You may need to create an account to access certain features of our platform.

4.2. You are responsible for maintaining the confidentiality of your account information.

5. Product Listings and Intellectual Property

5.1. Sellers must upload an explanatory video about their automation, along with a downloadable file for the automation (make.com format).

5.2. Sellers must publish relevant prompts and codes for the automation.

5.3. Sellers must provide an organized PDF showing all relevant components for the automation (costs, software programs, APIs, AI token usage, etc.).

5.4. The minimum price for a product is $12. There is no maximum price limit.

5.5. We reserve the right to remove any product that violates our policies or infringes on intellectual property rights. However, content that does not align with the platform’s purpose may not be removed immediately.

5.6. We conduct regular checks of products to ensure they have not been copied from other suppliers.

5.7. Sellers are responsible for ensuring they have the right to sell their listed products.

6. Payments and Fees

6.1. We use a third-party payment processor (PayPal) for all transactions.

6.2. Autorary charges a 10% commission on every sale + 0.5$.

6.3. Sellers can withdraw their earnings through their dashboard on the platform. The following fees apply:

  • 3% fee for withdrawals to PayPal
  • 0% fee for withdrawals to a bank account

6.4. When sellers receive money from us, PayPal charges an additional 3.9% fee. This fee is not our responsibility and is separate from our charges.

6.5. Sellers can withdraw their earnings with a minimum withdrawal amount of $20. Approval for withdrawal may take up to two days.

7. Refunds and Disputes

7.1. No-Refund Policy: As a general rule, no refunds will be provided once a digital product has been downloaded. By purchasing and downloading a product, the buyer acknowledges that they are receiving immediate access to digital content and therefore waive any right to a cooling-off period or automatic refund.

7.2. Exceptional Refund Cases: In rare and exceptional circumstances, refunds may be considered at our sole discretion. Such circumstances may include, but are not limited to:
a) Proven technical issues that render the product completely unusable, provided the buyer has made reasonable efforts to resolve the issue with the seller’s support.
b) Significant discrepancies between the product description and the actual product delivered.
c) Fraudulent activity or unauthorized purchases.

7.3. Refund Request Process:
a) Buyers must submit a refund request within 7 days of purchase.
b) The request must include a detailed explanation of the issue and evidence supporting the claim.
c) Autorary will review each request on a case-by-case basis and make a final decision.

7.4. Dispute Resolution:
a) In case of a dispute between a buyer and a seller, both parties agree to first attempt to resolve the issue directly through our platform’s messaging system.
b) If the parties cannot reach an agreement, Autorary will mediate the dispute.
c) Both parties agree to provide all relevant information and respond promptly to Autorary’s requests during the mediation process.
d) Autorary’s decision in mediating disputes is final and binding on both parties.

7.5. Seller Obligations: Sellers agree to respond promptly to buyer inquiries and support requests. Failure to provide adequate support may result in Autorary intervening in favor of the buyer in dispute cases.

7.6. Buyer Obligations: Buyers agree to thoroughly review product descriptions and requirements before making a purchase. Claims based on features or compatibility issues clearly stated in the product description may not be grounds for a refund.

7.7. Autorary’s Role: While we strive to facilitate fair resolutions, Autorary is not responsible for the quality, safety, or legality of products sold on the platform. Our mediation service is offered as a courtesy to users and does not imply any guarantee or warranty on products.

7.8. Chargeback Policy: Initiation of a chargeback with the payment provider without first attempting to resolve the issue through our refund and dispute process may result in account suspension or termination.

8. Prohibited Content and Products

8.1. Products or content not relevant to automations may be subject to removal.

8.2. Repeated violations may result in the deletion of the seller’s store.

9. Intellectual Property

9.1. We actively monitor for copied automations. Sellers must provide unique explanations for their products.

9.2. Users retain their intellectual property rights for content they create and share on the platform.

10. Privacy and Data Protection

10.1. We comply with GDPR regulations in handling user data.

10.2. Supplier information (name, store phone number, email) is saved and may be visible to potential customers unless the supplier opts out.

11. Liability

11.1. Autorary is not responsible for the products sold on the platform. This responsibility lies with the suppliers.

11.2. We strive to provide the best products in our marketplace but make no warranties about the products sold.

12. Termination

12.1. Users can terminate their accounts at any time.

12.2. Upon termination, user information and data will be deleted from our system.

12.3. Terminated users will not have access to the site until they register again.

13. Changes to Terms and Conditions

13.1. We reserve the right to modify these terms at any time.

13.2. Updates to these terms will be posted on our website.

13.3. Users are responsible for reviewing and adhering to the most current version of these terms.

14. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Israel.

14. Limitation of Liability

14.1. To the fullest extent permitted by applicable law, Autorary and its affiliates, officers, employees, agents, partners and licensors shall not be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
(a) your access to or use of or inability to access or use the Service;
(b) any conduct or content of any third party on the Service;
(c) any content obtained from the Service; and
(d) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

14.2. In no event shall our total liability to you for all damages, losses or causes of action exceed the amount you have paid Autorary in the last six (6) months, or, if greater, one hundred dollars ($100).

15. Indemnification

15.1. You agree to defend, indemnify and hold harmless Autorary and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of:
(a) your use and access of the Service, by you or any person using your account and password;
(b) a breach of these Terms;
(c) content posted on the Service;
(d) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or
(e) any claim that your content caused damage to a third-party.

16. Disclaimer of Warranties

16.1. Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

16.2. Autorary, its subsidiaries, affiliates, and its licensors do not warrant that:
(a) the Service will function uninterrupted, secure or available at any particular time or location;
(b) any errors or defects will be corrected;
(c) the Service is free of viruses or other harmful components; or
(d) the results of using the Service will meet your requirements.

17. Severability and Waiver

17.1. If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

17.2. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Autorary’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

18. Entire Agreement

18.1. These Terms, including any legal notices and disclaimers contained on this website, constitute the entire agreement between Autorary and you in relation to your use of this website and supersede all prior agreements and understandings with respect to the same.

19. Governing Law and Jurisdiction

19.1. These Terms shall be governed and construed in accordance with the laws of Israel, without regard to its conflict of law provisions.

19.2. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

20. Changes to Terms and Conditions

20.1. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

22. User Conduct and Responsibilities

22.1. Sellers’ Responsibilities:
(a) Accuracy of Information: Sellers are responsible for providing accurate and complete information about their products, including all relevant details about the automation solutions they offer.
(b) Product Quality: Sellers must ensure their products are functional and perform as described. Autorary reserves the right to remove products that consistently receive negative feedback or do not meet quality standards.
(c) Customer Support: Sellers are required to provide reasonable customer support for their products, including addressing buyer questions and concerns in a timely manner.
(d) Updates and Maintenance: Sellers are responsible for maintaining and updating their products as necessary to ensure continued functionality.

22.2. Buyers’ Responsibilities:
(a) Due Diligence: Buyers are responsible for carefully reviewing product descriptions and requirements before making a purchase.
(b) Use of Products: Buyers agree to use the purchased products in accordance with the terms set by the seller and these Terms and Conditions.
(c) Feedback: Buyers are encouraged to provide honest and constructive feedback about their purchases to help maintain the quality of the marketplace.

22.3. Prohibited Conduct:
(a) Users shall not engage in any activity that disrupts or interferes with the proper functioning of the platform.
(b) Users shall not attempt to access other users’ accounts or sensitive information.
(c) Users shall not use the platform for any illegal or unauthorized purpose.
(d) Users shall not post or transmit any content that is offensive, harmful, or violates the rights of others.

23. Intellectual Property Rights

23.1. Ownership: Sellers retain ownership of the intellectual property rights in their products. By listing a product on Autorary, sellers grant Autorary a non-exclusive, worldwide, royalty-free license to use, display, and promote the product on the platform.

23.2. License to Buyers: When a buyer purchases a product, they are granted a non-exclusive, non-transferable license to use the product for its intended purpose. This license does not include the right to resell, distribute, or create derivative works based on the purchased product unless explicitly stated by the seller.

23.3. Infringement Claims: If a user believes that their intellectual property rights have been infringed upon, they should contact Autorary immediately with detailed information about the alleged infringement.

24. Dispute Resolution

24.1. Buyer-Seller Disputes: In the event of a dispute between a buyer and a seller, both parties agree to first attempt to resolve the issue through direct communication. If this is unsuccessful, Autorary will mediate the dispute and make a final decision, which both parties agree to abide by.

24.2. Arbitration: Any dispute arising out of or relating to these Terms, including their formation, interpretation, breach, or termination, shall be finally settled by binding arbitration in accordance with the laws of Israel.

25. Platform Modifications

25.1. Autorary reserves the right to modify, suspend, or discontinue any part of the platform at any time without notice. This includes the right to remove products or suspend user accounts if necessary.

25.2. Autorary is not liable to users or any third party for any modification, suspension, or discontinuation of the platform or any part thereof.

26. No Agency

26.1. No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by these Terms between Autorary and any user.

By using Autorary, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, including the additions and clarifications made in this update.
